The Constitution of The Accounting Society of
Bernard M. Baruch College
City University of New York
(Founded July 1, 1968, Revised April 4, 2002)

ARTICLE I: NAME

This student organization shall be known as the Accounting Society ("the Society") of the day session at Bernard M. Baruch College ("the College").

ARTICLE II: PURPOSES

The purposes of the Society are to:

1.      Acquaint our members with the accounting profession by securing prominent speakers from the private, public, and professional sectors,

2.      Discuss recent trends, changes, and problems in accounting procedures,

3.      Connect accounting theory and practice, and

4.   Facilitate the social and scholarly development of the accounting community.

ARTICLE III: MEMBERSHIP

Membership in the Society is open to all students at the College.  In order to be a member, one must have attended at least one-half of the Societys meetings for that semester.  Members may take a leave of absence of up to one semester from the Society and still maintain membership status through the subsequent semester.

ARTICLE IV: THE EXECUTIVE BOARD

Section A: Officers

The officers of the Society shall be: President, Vice President Internal, Vice President External, Treasurer, Corresponding Secretary, Recording Secretary and Publicity Manager.  The term of each office lasts for one semester and there are no term limits except for the offices of the President and Vice President External, which are both limited to two terms.  All officers are required to attend at least three-quarters of all club meetings.

Section B: Duties

1.      President:

·        Presides over and conducts all meetings,

·        Plans, in collaboration with the Faculty Advisor(s), the program for the semester,

·        Appoints members to fill vacancies subject to approval of the Vice Presidents,

·        Countersigns all vouchers,

·        Represents the Society wherever necessary,

·        Receives a copy of all reports,

·        Oversees all aspects of the club,

·        Supplies the officers with the guest speakers topic and contact information, and

·        Coordinates joint activities with other clubs when so desired by the Executive Board.

Absence for more than three regular meetings will be considered an act of resignation from office unless the cause for absence was due to extenuating circumstances, subject to approval by the Executive Board.

2.      Vice President Internal:

·        Succeeds to the Presidents position should it become vacant for the remainder of the term of office without jeopardizing his/her chance to run for two other terms,

·        Presides over meetings in absence of the President,

·        Reserves rooms, when necessary, in a timely fashion for general meetings and furnishes the location of the next meeting to the officers no later than the Thursday prior to the event,

·        Prints certificates of appreciation for the Societys guest speakers,

·        Sets up the Societys banner at every club meeting,

·        Orders awards for the officers and memorabilia items for our members, and

·        Plans and coordinates the annual Induction Ceremony.

3.      Vice President External:

·        Plans and coordinate the semi-annual networking luncheon, and

·        Assists the President in obtaining guest speakers.

4.      Treasurer:

·        Keeps records of all monies collected and disbursement vouchers,

·        Updates the Societys budget weekly and provides the President with financial reports when needed,

·        Countersigns all vouchers and disburses funds for any expenditures needed for the activities of the Society,

·        Orders food and refreshments for general meetings and ensure its delivery, and

·        Coordinates the semi-annual book exchange fundraiser.

5.      Corresponding Secretary:

·        Emails members regarding all of the Societys meetings and functions as well as informing them of any upcoming professional events, and

·        Receives and forwards responses from banquet guests to the 
           
Vice President External.

6.      Recording Secretary:

·        Maintains complete attendance, membership, and alumni records, and

·        Records the minutes of the officers meetings and have them seconded by any officer at the following officers meeting.

7.      Publicity Manager:

·        Provides public notice of all the regular meetings of the Society through use of the school newspaper, posters, flyers, and other sources of media, and

·        Greets guests upon arrival.


Section C: Eligibility for Office

Any member seeking a position on the Executive Board must be a matriculated student at the College and have volunteered in some form (post flyers, clean up, assist with the networking luncheon or book exchange, etc.) for the Society.  Any member running for President must have held an Executive Board position or sat on a Committee in a prior semester and be at least a junior or senior in the following semester.

Section D: Nomination and Election

Nominations:

  • Nominations for all positions must be submitted in writing to the President one week prior to the election meeting.  The President will consult with the Faculty Advisor(s) and determine the eligibility of all nominees.
  • Nominations may also be made from the floor on the day of the election, but must be seconded by another member

Elections:

  • Elections should be held at the last club meeting for the semester.
  • Those eligible to run for a position will briefly present their candidacy to the Society.
  • Elections are to be held by a secret ballot and will be tallied by the Faculty Advisor(s).
  • Only members may vote at the election meeting.  There are not to be any proxy votes.
  • A candidate who received the most number of votes shall be elected.
  • In the event that there is a tie, the Executive Board will vote in a secret ballot.
  • If there is only one candidate running for a position, the ballot will be a yes/no vote.

Section E: Vacancy

Should an office become vacant, the President may appoint a member subject to the approval of the Vice Presidents to fill the vacancy.

Section F: Resignations

If at any time an Executive Board member wishes to resign from office, the officer will communicate that to the President and sign a letter of resignation.  The President should present the resignation to the Executive Board at its following meeting and to the Faculty Advisors.

Section G: Impeachment

Any Executive Board member found guilty of misconduct shall be asked to resign or be removed from office by a three-quarters vote of all officers present at such proceedings.  The Executive Board member will be provided with a written statement of such charges from the Recording Secretary one week before the meeting in which a vote on expulsion is to be taken.  Upon receipt of such charges, the Executive Board member is given the opportunity to respond in writing prior to the vote.

ARTICLE V: COMMITTEES

Committees will be created at the discretion of the Executive Board and a current officer appointed by the President will chair each.  The purpose of a Committee is to aid the Executive Board in various planning efforts and will consist of current members from the Society.  The chairperson will report all Committee matters to the Executive Board.

ARTICLE VI: MEETINGS

Section A: Quorum

Fifty percent plus one of the officers must be present to constitute a quorum.

Section B: Meetings to be Held

Meetings should be held at any reasonable time deemed advisable by the President or any other Executive Board member.  All Executive Board members must be notified in writing of all meetings preferably at least two weeks in advance.

ARTICLE VII: AMENDMENTS & RATIFICATION

Any proposed amendments to this constitution should be submitted to the Executive Board for approval.  Upon acceptance by the Executive Board, it shall be submitted to the Faculty Advisor(s) for their review.  Ratification of the constitution requires two-thirds vote of the members present.  The constitution will become effective upon submission to the Office of Student Life.
